Open Credits by Vi Pi International Inc., Official Authorized Partner of UPI Study

Welcome to Open Credits, operated by Vi Pi International Inc. ("Open Credits," "we," "us," or "our"). Open Credits is the official authorized partner of UPI Study educational programs and services.

By accessing or using our website, products, educational services, subscriptions, bundles, transfer-credit programs, or any related offerings (collectively, the "Services"), you agree to comply with and be legally bound by these Terms and Conditions. If you do not agree to these Terms, you must discontinue use of the Services immediately.

These Terms constitute a legally binding agreement between you and Vi Pi International Inc., doing business as Open Credits, governing your use of all Services. For questions, contact team@opencredits.org.

1. Eligibility

To use our Services, you affirm that you:

Are at least 18 years old, or have the express consent of a parent or legal guardian
Have the legal authority to enter into these Terms
Will use the Services only for lawful purposes and in compliance with applicable laws

Failure to meet these requirements may result in immediate account termination.

2. Official Partner Relationship

Open Credits, by Vi Pi International Inc., is the official authorized partner of UPI Study. You acknowledge that:

Open Credits facilitates the sale and enrollment of educational services offered through UPI Study
Course delivery, academic systems, educational pathways, and transfer-credit frameworks are administered by UPI Study Inc.
Open Credits acts as an enrollment facilitator and authorized partner only

Any academic policies, transferability standards, or educational requirements are subject to UPI Study's governing academic policies.

3. Account Registration and Security

When creating an account, you agree to provide accurate and complete information, maintain the confidentiality of your login credentials, and notify us immediately of unauthorized access. You may not share credentials, register under false information, or access another user's account.

4. Services Offered

Services may include credit-bearing educational programs, course bundles, subscription access, academic transfer pathway products, and educational guidance tools.

No Guaranteed Credit Acceptance. Open Credits and UPI Study do not guarantee acceptance of credits by all institutions.

Not a Degree-Granting Institution. Open Credits is not an accredited academic institution and does not grant academic degrees.

Student Verification Responsibility. Students are solely responsible for confirming transfer acceptance with their intended institutions before purchase.

5. Pricing and Payment Terms

Payment is due in full at the time of purchase
All prices are listed in USD unless otherwise stated
Applicable processing fees and taxes may apply

Subscription services renew automatically unless canceled before the renewal date. Failed payments may result in suspension or cancellation. Open Credits reserves the right to modify pricing without prior notice.

6. Refund Policy

All sales are final. Open Credits follows the official refund policy established by UPI Study. No refunds will be issued under any circumstances, including dissatisfaction with Services, failure to complete coursework, credit transfer rejection, institutional policy changes, change in educational plans, or student non-participation. This applies to individual courses, bundles, subscriptions, promotional purchases, and third-party facilitated enrollments.

7. No Advisory Obligation

Open Credits is not an academic, financial, legal, or admissions advisor. Any guidance is for informational purposes only. Students remain solely responsible for independently verifying academic requirements and transfer eligibility.

8. Intellectual Property

All Open Credits branding, platform assets, materials, and website content are protected by intellectual property laws. All educational content remains the property of UPI Study Inc. or its licensors. You may not copy, redistribute, resell, modify, or create derivative works of course materials.

9. Prohibited Conduct

You agree not to attempt to hack or disrupt platform systems, share or redistribute purchased materials, submit false payment claims, initiate improper chargebacks, or misrepresent identity or enrollment information. Violations may result in immediate termination without refund.

10. Limitation of Liability

To the fullest extent permitted by law, neither Open Credits, Vi Pi International Inc., nor UPI Study shall be liable for credit transfer rejection, institutional policy changes, academic outcomes, lost opportunities, financial losses, or service interruptions. Total liability shall not exceed the amount paid for the specific Service giving rise to the claim.

11. Chargebacks and Payment Disputes

Initiating a chargeback or payment dispute in violation of these Terms constitutes a material breach. Open Credits reserves the right to suspend or terminate access and recover processing fees, collection costs, and legal expenses. Contact team@opencredits.org before initiating disputes.

12. Indemnification

You agree to indemnify and hold harmless Open Credits, Vi Pi International Inc., UPI Study Inc., and their officers, employees, affiliates, and representatives from any claims arising from your breach of these Terms, misuse of Services, academic disputes, or unauthorized content use.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States. Users must first contact team@opencredits.org. Any unresolved disputes shall be resolved through binding arbitration in Santa Clara County, California. You waive participation in class-action proceedings.

14. Privacy and Data Collection

By using Open Credits, you consent to the collection and processing of personal data necessary to provide Services, as described in our Privacy Policy. Open Credits does not sell personal data.

15. Communications

By creating an account, you consent to receive transactional communications (enrollment confirmations, receipts, academic updates, service notifications) and marketing communications (product announcements, educational opportunities, promotional offers). You may unsubscribe from marketing communications at any time.

16. Termination

Open Credits may suspend or terminate your access if you violate these Terms, fail to meet payment obligations, are suspected of fraud, or as required by law. Upon termination, access ends immediately and no refunds will be issued.

17. Changes to These Terms

Open Credits reserves the right to revise these Terms at any time. Updated Terms become effective immediately upon posting. Continued use constitutes acceptance.
